GoExceed Enterprise Terms & Conditions

Welcome to the website of GoExceed.

These Enterprise Terms & Conditions (“Enterprise Terms”) supplement the Website Terms and apply to all customers who submit a purchase order, execute an Order Form, Statement of Work, or other written agreement with GoExceed.

In the event of conflict, these Enterprise Terms control.

1. License Grant

Subject to payment and compliance, GoExceed grants a non-exclusive, non-transferable, non-sublicensable license to access and use the Software during the subscription term solely for internal business purposes.

2. Payment Terms

  • Fees are as stated in the applicable Order.
  • Invoices are due within thirty (30) days unless otherwise stated.
  • GoExceed may suspend Services for non-payment.
  • Fees are non-refundable except as required by law.

3. Credit Card Payments

Client may elect to pay by credit card and authorizes GoExceed to charge the card for all approved fees, renewals, and applicable taxes.

  • Charges may be processed at invoice issuance or due date.
  • Failed payments may result in suspension.
  • Chargebacks related to authorized services constitute non-payment.
  • Client is responsible for maintaining current payment information.

All credit card payments are non-refundable except as required by law.

4. GoExceed Return Policy

At GoExceed, customer satisfaction is important to us. Most hardware products may be returned within thirty (30) calendar days from the invoice date, subject to manufacturer guidelines and approval by GoExceed.

To be eligible for return, products must:

  • Be returned in their original packaging.
  • Include all accessories, cables, manuals, warranty information, and other components received with the shipment.
  • Be free from customer-caused damage or excessive wear.
  • Comply with any manufacturer-specific return restrictions.

Software licenses, digital products, subscription services, and electronically delivered products are generally non-returnable once delivered, activated, or downloaded. Manufacturer warranties remain in effect and are not impacted by this return policy. After the return period expires, warranty claims should be directed to the manufacturer.

Return Authorization Process

All returns require prior authorization from GoExceed.

To request a Return Authorization (RA), customers must provide:

  • Company name
  • Invoice or order number
  • Product description and serial number (if applicable)
  • Quantity being returned
  • Reason for return
  • Product condition (sealed, opened, defective, damaged, etc.)

Once approved, GoExceed will issue an RA number and return instructions. Products must be received within ten (10) calendar days of RA issuance unless otherwise authorized. Returns received without a valid RA number or outside the approved return window may be refused.

Defective Products

Products received defective, damaged, or not functioning as intended should be reported immediately. Upon validation, GoExceed may provide one of the following remedies:

  • Replacement product
  • Repair service
  • Credit
  • Refund

The remedy provided may depend on manufacturer policies and product availability.

Non-Defective Returns

Returns requested for reasons other than product defects, including but not limited to ordering errors, project cancellations, or no longer needing the product, may be subject to manufacturer approval and restocking fees.

GoExceed reserves the right to assess a restocking fee of up to fifteen percent (15%) of the original purchase price, consistent with manufacturer policies and costs associated with processing the return.

Shipping charges are non-refundable unless the return is the result of a GoExceed fulfillment error.

Non-Returnable Items

The following items are generally non-returnable:

  • Opened or activated software licenses
  • Electronically delivered products
  • Custom-configured or special-order products
  • Professional services
  • Subscription and support services already delivered
  • Products identified by the manufacturer as non-returnable

Return Shipping

Unless otherwise agreed in writing, customers are responsible for return shipping costs. Customers are encouraged to use a trackable shipping method and insure shipments against loss or damage during transit.

GoExceed is not responsible for products lost or damaged while being returned.

5. GoExceed International Product Shipment Policy

International Shipments

For products shipped outside of the United States, the following International Product Shipment Terms apply in addition to GoExceed’s standard Terms and Conditions of Sale. In the event of any conflict, these International Product Shipment Terms shall govern international orders. These provisions are modeled on standard international shipping practices and Incoterms® 2020 guidelines.

Shipping Terms

All international shipments are made under the following delivery terms:

DPU (Delivered at Place Unloaded) – Designated Airport Terminal in the Country of Importation

Under this arrangement:

  • GoExceed is responsible for arranging transportation of the products to the designated airport terminal in the destination country.
  • Title to the products transfers to the customer when the products arrive at the designated airport terminal in the country of importation.
  • Risk of loss or damage transfers to the customer when the products arrive at the designated airport terminal in the country of importation.

Customs and Import Requirements

The customer is solely responsible for:

  • Obtaining any required import permits, licenses, or approvals.
  • Completing all customs clearance requirements.
  • Paying all applicable duties, taxes, tariffs, brokerage fees, customs charges, and other governmental assessments.
  • Ensuring compliance with local import regulations and restrictions.

Delays caused by customs agencies, regulatory reviews, or local government requirements are outside of GoExceed’s control.

Final Delivery

GoExceed will use commercially reasonable efforts to coordinate delivery from the destination airport terminal to the customer’s designated location. However:

  • The customer assumes all risk of loss or damage from the time the shipment reaches the designated airport terminal in the destination country.
  • Delivery schedules are estimates only and are not guaranteed.
  • Additional handling, customs, storage, or local delivery charges may apply and are the responsibility of the customer.

Shipping Charges

Unless otherwise agreed in writing:

  • All international shipping charges are the responsibility of the customer.
  • Shipping charges may include freight, insurance, customs brokerage, handling fees, and other logistics-related costs.
  • Additional charges resulting from customs inspections, delivery refusals, incomplete documentation, or destination-country requirements will be billed to the customer.

Export Compliance

Customers acknowledge that products purchased from GoExceed may be subject to United States export control laws and regulations. Customers agree to:

  • Comply with all applicable export, import, sanctions, and trade compliance laws.
  • Not export, re-export, transfer, or use products in violation of U.S. laws or regulations.
  • Provide any documentation reasonably requested by GoExceed to verify compliance with export requirements.

Freight Forwarders

GoExceed reserves the right to refuse shipment to freight forwarding companies, consolidation warehouses, or other third-party forwarding services unless expressly approved in writing prior to shipment. International orders may be required to ship directly to the end-user destination.

International Delivery Delays

International shipments may be subject to additional processing time due to export reviews, customs clearance, local regulations, carrier delays, weather events, or other circumstances beyond GoExceed’s control. GoExceed shall not be liable for delays resulting from such events.

6. Data Security and Confidentiality

Each party shall protect the other’s Confidential Information using reasonable safeguards. Client remains responsible for data backups unless loss results from GoExceed’s gross negligence or willful misconduct.

7. Service Levels

All SLAs governing GoExceed services are published at www.goexceed.com and incorporated by reference as of the Order effective date.

Client Support SLAs

  • Standard Support: 7 a.m. – 7 p.m. CST, Monday – Friday (excluding holidays).
  • After-Hours Support: 24/7 with a 4-hour response time.
  • Processing Times: Requests received before 5 p.m. CST will be processed the same day. Requests after this time will be processed the next business day.
  • Voicemail Response: Within one business hour during standard hours.
  • Holiday Schedule: Support unavailable on company holidays.

8. Warranties and Disclaimers

GoExceed warrants that Services will be performed in a commercially reasonable manner. Except as expressly stated, all Services and Software are provided “as is.”

9. Limitations of Liability

To the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, special, or consequential damages.
  • GoExceed’s total liability shall not exceed the lesser of (a) fees paid in the six (6) months preceding the claim or (b) $5,000, unless otherwise stated in a signed agreement.

10. Indemnification

Each party shall indemnify the other for claims arising from its negligence, willful misconduct, or violation of law.

11. Terms

The term in this contract will commence upon the first GoExceed invoice date following validation. After the Initial Term expires, this Agreement will automatically renew to the existing term of the contract unless either party provides at least 90 days’ written notice to the other party prior to the applicable term’s expiration. If the client cancels the agreement before the completion of the selected term, client will be responsible for payment for the remainder of the term. Pricing for the services is based on the client’s number of active and suspended lines and the terms of the agreement.

Client acknowledges that GoExceed’s pricing and resource allocation are based on the number of managed lines at the commencement of this Agreement. Accordingly, Client agrees that monthly billing shall not be reduced below an amount equal to thirty percent of the total managed lines under management at the start of the Agreement (“Baseline Commitment”). If the client reduces the number of lines by more than 30%, GoExceed reserves the right to adjust the per-device fee or other pricing terms.

12. Governing Law and Venue

Illinois law governs these Enterprise Terms. Exclusive venue is DuPage County, Illinois.

Recommended PO / Order Form Language

This Order is governed by GoExceed’s Website Terms & Conditions and Enterprise Terms & Conditions available at GoExceed | Terms & Conditions, which are incorporated herein by reference. Any additional or conflicting terms are rejected unless expressly agreed to in writing by GoExceed.
