These Website Terms & Conditions (“Website Terms”) govern access to and use of GoExceed’s websites, software platforms (including Solve(X)), and related services (collectively, the “Services”). 

By accessing the Services, submitting an order, or using GoExceed products, you agree to these Website Terms.

1. COMPANY INFORMATION

2.USE OF SERVICES

GoExceed grants you a limited, non-exclusive, non-transferable right to access and use the Services solely for your internal business purposes, subject to these Website Terms. 

You may not: 

• Reverse engineer, copy, or modify the Services; 

• Share access credentials; 

• Use the Services unlawfully or to develop competing products; 

• Remove proprietary notices. 

3. ORDERS AND FEES

Fees, subscription terms, and service descriptions are governed by the applicable order form, quote, or purchase order (“Order”). 

Unless otherwise stated: 

• Fees are non-refundable; 

• Invoices are due within thirty (30) days. 

 

4. SUPPORT AND SLAs

Support and service levels are governed by GoExceed’s published Service Level Agreements (“SLAs”), available at www.goexceed.com, and incorporated by reference. SLAs may be updated prospectively. 

 

5. DATA AND PRIVACY

You retain ownership of your data. GoExceed may process data to provide Services, maintain security, improve products, and comply with legal obligations. 

 

6. DISCLAIMERS

The Services are provided “as is” and “as available.” GoExceed disclaims all warranties except as expressly stated in a written agreement. 

 

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, GoExceed shall not be liable for indirect, incidental, or consequential damages. GoExceed’s total liability is limited as set forth in the applicable Order or Enterprise Addendum. 

 

8. GOVERNING LAW

These Website Terms are governed by the laws of the State of Illinois, with venue in DuPage County, Illinois. 

 

9. ENTERPRISE TERMS

Enterprise customers, customers issuing purchase orders, or customers with negotiated agreements are subject to GoExceed’s Enterprise Terms & Conditions, which are incorporated by reference and control in the event of conflict. 

 

GOEXCEED ENTERPRISE TERMS & CONDITIONS 

 These Enterprise Terms & Conditions (“Enterprise Terms”) supplement the Website Terms and apply to all customers who submit a purchase order, execute an Order Form, Statement of Work, or other written agreement with GoExceed. 

In the event of conflict, these Enterprise Terms control. 

 

1. LICENSE GRANT

Subject to payment and compliance, GoExceed grants a non-exclusive, non-transferable, non-sublicensable license to access and use the Software during the subscription term solely for internal business purposes. 

 

2. PAYMENT TERMS

• Fees are as stated in the applicable Order. 

• Invoices are due within thirty (30) days unless otherwise stated. 

• GoExceed may suspend Services for non-payment. 

• Fees are non-refundable except as required by law.

• All late payments will be subjected to a 1.5% fee.

 

3. CREDIT CARD PAYMENTS

Client may elect to pay by credit card and authorizes GoExceed to charge the card for all approved fees, renewals, and applicable taxes. 

• Charges may be processed at invoice issuance or due date. 

• Failed payments may result in suspension. 

• Chargebacks related to authorized services constitute non-payment. 

• Client is responsible for maintaining current payment information. 

All credit card payments are non-refundable except as required by law. 

 

4. DATA SECURITY AND CONFIDENTIALITY

Each party shall protect the other’s Confidential Information using reasonable safeguards. Client remains responsible for data backups unless loss results from GoExceed’s gross negligence or willful misconduct. 

 

5. SERVICE LEVELS

All SLAs governing GoExceed services are published at www.goexceed.com and incorporated by reference as of the Order effective date. 

 

6. WARRANTIES AND DISCLAIMERS

GoExceed warrants that Services will be performed in a commercially reasonable manner. Except as expressly stated, all Services and Software are provided “as is.” 

 

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law: 

• Neither party is liable for indirect, incidental, special, or consequential damages. 

• GoExceed’s total liability shall not exceed the lesser of (a) fees paid in the six (6) months preceding the claim or (b) $5,000, unless otherwise stated in a signed agreement. 

 

8. INDEMNIFICATION

Each party shall indemnify the other for claims arising from its negligence, willful misconduct, or violation of law. 

 

9. TERM AND TERMINATION

These Enterprise Terms remain in effect for the subscription term stated in the Order. Upon termination, Client must cease use of the Software and return or destroy Confidential Information. 

 

10. GOVERNING LAW AND VENUE

Illinois law governs these Enterprise Terms. Exclusive venue is DuPage County, Illinois.
